You agree to defend the Task Force and its affiliates, all of their licensors, vendors and service providers, and all trustees, beneficiaries, directors, officers, employees, agents and representatives of each of the foregoing, and each of their respective successors and assigns (the “Indemnified Parties”), from and against any claims, law suits, arbitrations or other legal proceedings, and you agree to indemnify and hold harmless each of the Indemnified Parties from any liabilities, damages, losses, judgments, awards, costs, expenses or fees (including reasonable attorneys’ fees), arising from or relating to your violation of these Terms of Use or your use of the Website, including, but not limited to, , any use of the Website’s content or information, or other websites and resources obtained through the Website, other than as expressly authorized in these Terms of Use or your any terms and conditions of the use of any other websites or resources obtained from the Website.

11. Governing Law and Jurisdiction

All matters relating to the Website and these Terms of Use, and any dispute or claim arising from or related to the Website and or these Term of Use (including, but not limited to, non-contractual disputes or claims), shall be governed by the laws of the State of Missouri without giving effect to any choice or conflict of law provision or rule (whether of the State of Missouri or any other jurisdiction).

Any claim, law suit, arbitration or other legal proceeding arising from or related to the Website or these Terms of Use shall be instituted exclusively in the federal courts of the United States or the courts of the State of Missouri, although we retain the right to bring any law suit, arbitration or other legal proceeding against you for any violation of these Terms of Use in your country of residence or any other relevant country. No waiver by the Task Force of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Task Force to assert a right or enforce any term or condition under these Terms of Use shall not constitute a waiver of such right, term or condition.

If any term or provision of these Terms of Use is held by a court or other tribunal or governmental authority of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such term or provision shall be eliminated or limited to the minimum extent such that the remaining terms and provisions of the Terms of Use will continue in full force and effect.
